Regarding the “Deluxe Kits” offered by other online legal service providers, California law does not require businesses to have fancy binders or seals. Indeed, selling gold-trimmed binders and seals is merely a way for these companies to cash in by making entrepreneurs feel their new business is somehow “official.” Your business will not be more legitimate by squandering start-up funds on a customized binder and seal kit.

As far as seals go, under California law “a corporate or official seal may be affixed” to documents (emphasis added). However, as of 1872 (yes, 1872!), “all distinctions between sealed and unsealed instruments” were abolished.  Therefore, seals are not required under California law.

Moreover, while the various records of LLCs and corporations must be open for inspection by any shareholder, director, or member, California law doesn’t mandate how those records must be stored. Further, the law certainly doesn’t require businesses to buy fancy binders with their names in gold lettering.

This firm’s suggestion: save your money and forgo “Deluxe Kits,” and instead go to Vistaprint or your local office supply store and get a regular binder or seal for cheaper.
